Insider trading in securities is the disclosure of nonpublic and
confidential information about a company trades in company’s
securities; the parties sharing such information often uses it to
make a profit or avoid a loss. But in more recent news, federal
prosecutors in New York are aggressively pushing the definition of
insider trading, and are sending investigators into a legal gray
area that the Securities Exchange Act of 1934 and the Insider
Trading Sanctions Act of 1984 have spelled out and left for
interpretation. The Act provides that, if the U.S. Securities and
Exchange Commission (SEC) believes that any person has bought or
sold a security while in possession of material nonpublic
information, the SEC may bring an action in United States district
court to seek civil and criminal penalties. Those who attempt to
pick up the phone to trade secret tips about the big deals their
employing company is about to make, or trade stocks at an unfair
advantage, may be criminally liable under 15 USC §78.
Investigations by the SEC and the FBI reportedly focus on “expert
networks” or consulting firms that pay industry participants to
share insights and information with investors. In pursuing
insider-trading cases, the United States Southern District
attorney’s office has recently adopted the use of court approved
wiretaps to record the traders’ conversations. Recent defendants
charged with insider trading also faced charges of conspiracy to
commit securities fraud, and securities fraud by selling material.
Insider trading and securities fraud crimes carry severe penalties
that could permanently affect your professional reputation and your
personal life. Under the Securities Exchange Act of 1934 and the
Insider Trading Sanctions Act of 1984, securities fraud is
punishable by up to twenty five years of incarceration. It is
important to contact a qualified attorney at the onset of fraud
investigation. If you are recently being investigated or charged
