Where to start??

Let’s start with some facts.

The first election process to go wrong was for the March 2010 election (AGM Aberystwyth). The Company Secretary at the time was Stuart Franklyn and in charge of admin at the Office were Gwyneira Edwards and Bethan Jones, with the Chair Jan Pearce having a very hands on role in the Office, so it’s one, some, or all of them who should carry the can.

Council then “appointed” Anna Prytherch (well in fact it was the then President Will Lloyd who was charged with scouring Aberystwyth to find a suitable amenable candidate). She was appointed on an alleged salary of approx £40k plus, also her PhD fees were supplemented from the Education and Welfare budget despite the protests of that particular committee. And for the icing on the cake she negotiated an annual productivity bonus. Add it up folks – it’s a lot of dosh!!!.

So, for the March 2011 election Anna Prytherch was Company Secretary and fully responsible for sending out the incorrect nomination papers.

At the April 2011 Council meeting she was made aware of the error, in fact everyone present at the meeting was made aware of the error, however this was never recorded in the minutes, but I am reliably informed that she was reminded in writing of the error.
Yet she again, for the March 2012 election sent the same incorrect nomination form out and then when the error was pointed out an additional form was sent to each nominee to facilitate the addition of a seconder.

Why all the activity now? Well it’s been pointed out to our legal advisers that the Society is in breach of our Articles of Association and by the same token, of more significance, in breach of Company Law. So what do they do? - try and smokescreen the membership rather that admit they’ve messed up by putting a load of piffling changes in and adding the main failsafe in article 14 hoping it won’t be noticed.

As for the legal advice and confidentiality we have a right to know how our Society is being run and how our membership money and registration costs are being used. The attitude of our legal advisers and staff is appalling in one communication sent by our solicitor he refers to us and I quote:-

“Bethan I hope this is suitable. We may find that there are a few barrack-room lawyers at the meeting who try to cause trouble by claiming that the meeting is invalid, in which case they just need to be slapped down.
You will note that I have copied Stuart into this email-it also needs to find its way to the chair but whether you send the whole email or just cut and paste the two suggested statements is up to you . If you are looking for my view, I would forward the whole thing”

So our expensive legal team at Hugh James Solicitors thinks the members should be slapped down! I’m looking forward to meeting them at the EGM.

As for the resolutions, we will be voting against both as the powers to be have not afforded the membership the humility, courtesy and respect to have a sensible and productive debate on how to resolve the issue.

The meeting was called using a majority of Council members according to the Secretary after she had phoned around 9 of them and got them to agree to the EGM. Of those, only 5 were correctly elected Trustees and our Articles of Association demands a quorum of 6. So, it beggars the question - is the meeting valid?

As for proxy voting I would urge all members to vote if they cannot attend they should send their proxy form to the scrutineers to arrive before the 26th January 2012 I would not post it to the WPCS Office, letters tend to take a long time to surface as, at present, there are two solicitor’s letters seemingly buried within the administration, one regarding a transport issue where the Oxford dictionary definition of what is the difference between an inspection and an investigation is being disputed and another letter regarding a spitting incident.
